1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Truventa Medical ("Truventa Medical," "we," "us," or "our") governing your access to and use of the website located at truventamedical.com and all associated content, features, and services (collectively, the "Site" or "Services").

By accessing or using the Site, completing a health assessment form, creating an account, or engaging with any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, as well as our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must immediately cease all use of the Site and Services.

These Terms apply to all visitors, users, patients, and any other individuals who access or use the Site. We reserve the right to modify these Terms at any time. Your continued use of the Site following any modification constitutes your acceptance of the updated Terms.

2. About Truventa Medical

Truventa Medical is a telehealth platform that connects patients with licensed physicians and healthcare providers across the United States. We operate in all 50 states through our network of licensed healthcare professionals who practice in full compliance with applicable state and federal laws and regulations.

Our Platform Partner

All clinical services — including medical consultations, diagnoses, prescriptions, and ongoing patient care management — are delivered through OpenLoop Health, a telehealth infrastructure platform that employs or contracts with licensed physicians, nurse practitioners, and other healthcare providers. OpenLoop Health maintains full regulatory compliance, including HIPAA requirements, state medical practice acts, and applicable telehealth regulations.

What We Are Not

  • We are not an insurance company. Truventa Medical does not provide, and is not a substitute for, health insurance of any kind. Our services are not covered by Medicare, Medicaid, or most private insurance plans.
  • We are not a pharmacy. All prescription medications are dispensed by licensed, state-registered, FDA-regulated pharmacies in compliance with applicable law.
  • We are not an emergency services provider. In the event of a medical emergency, call 911 immediately.

Truventa Medical itself is not a licensed healthcare provider and does not practice medicine. Nothing on this website — including but not limited to text, graphics, images, information, or any other content — constitutes medical advice, diagnosis, or treatment.

The information provided on this Site is for general informational and educational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment from a qualified healthcare provider. Always consult a licensed physician or other qualified health provider before starting, stopping, or modifying any medical treatment, medication regimen, diet, or health program.

4. Eligibility

To use the Site and access our Services, you must meet the following eligibility criteria:

Age Requirement

You must be at least 18 years of age. Our Services are not intended for, directed at, or available to persons under the age of 18. By using the Site, you represent and warrant that you are 18 years of age or older. If we become aware that a user is under 18, we will immediately terminate their access to our Services.

Residency

You must be a legal resident of the United States to access our clinical services. You must reside in a state where our affiliated healthcare providers are licensed to practice medicine. Some services may not be available in all states due to varying state regulations.

Accuracy of Information

You agree to provide accurate, current, and complete information when completing any intake assessment or registration form. Providing false or misleading information — particularly regarding your medical history, medications, or identity — may result in inappropriate medical care and will result in immediate termination of your access to our Services. You agree to promptly update any information you have provided to keep it accurate and current.

One Account Per Person

You may maintain only one account and one active patient relationship through our platform. Creating multiple accounts to circumvent restrictions is prohibited.

Prior Removal

You may not use our Services if you have previously been removed from our platform for any reason, including violations of these Terms or fraudulent activity.

5. Services Description

Truventa Medical provides a platform through which you can access the following services (subject to physician review and clinical appropriateness):

Online Health Assessments

Our digital intake forms collect general health information to help determine whether our clinical programs may be appropriate for you. These assessments are not medical consultations and do not establish a physician-patient relationship. They are a preliminary screening step designed to connect you with the right care program.

Telehealth Consultations

Upon completion of your intake assessment, you may be connected with a licensed physician or nurse practitioner for a telehealth consultation conducted via secure video, phone, or asynchronous messaging. These consultations establish a formal physician-patient relationship and are governed by applicable state laws and medical standards of care.

Prescription Medications

Where clinically appropriate, and at the sole discretion of the treating physician, prescription medications may be issued as part of your care plan. All prescriptions are dispensed by licensed, FDA-regulated pharmacies and shipped directly to you. See Section 6 for detailed terms regarding prescription medications.

Ongoing Care Management

Our platform supports ongoing care relationships, including follow-up consultations, lab review, treatment adjustments, and secure provider messaging, as part of your active subscription or care plan.

Health Education Content

We provide informational articles, videos, and resources on topics related to men's and women's health, weight management, hormone optimization, and other subjects relevant to our treatment programs. This content is for educational purposes only and does not constitute medical advice.

6. Prescription Medications

Physician Discretion

All prescriptions are issued solely at the discretion of the licensed physician or nurse practitioner conducting your consultation. Truventa Medical does not guarantee that a prescription will be issued following a consultation. The treating provider has the absolute authority to determine whether a prescription is medically appropriate based on their clinical evaluation of your individual health status.

Off-Label Use

Physicians may, in their professional medical judgment, prescribe medications for off-label uses (i.e., uses not specifically approved by the FDA) when supported by clinical evidence and consistent with the standard of care. You will be informed of any off-label use as part of the informed consent process during your consultation. Off-label prescribing is a well-established and legal medical practice.

Specific Treatment Disclosures

  • GLP-1 Receptor Agonists (e.g., semaglutide, tirzepatide): These medications are prescribed for medical weight management and/or glycemic control. Results vary. Common side effects include nausea, vomiting, and gastrointestinal discomfort. Serious risks exist and will be disclosed in full during your clinical consultation.
  • Testosterone Replacement Therapy (TRT): Prescribed for clinically diagnosed hypogonadism, confirmed by laboratory testing. TRT carries potential risks and contraindications that will be reviewed by your physician.
  • Compounded Medications: Some medications available through our platform may be compounded by licensed 503A or 503B compounding pharmacies. Compounded medications are not FDA-approved but are legally manufactured under applicable FDA regulations. FDA-approved alternatives may exist. Your physician will discuss the appropriateness of compounded versus FDA-approved options during your consultation.

FDA Disclaimer: Compounded medications have not been evaluated by the Food and Drug Administration for safety, efficacy, or quality. Compounded medications are legally prepared by licensed pharmacies and prescribed by licensed physicians when commercially available alternatives are not clinically appropriate for a specific patient.

Safe Use of Medications

You agree that all medications prescribed through our platform are for your personal use only. You must not share, sell, transfer, or otherwise distribute any prescription medications to any other person. Doing so may constitute a federal crime and will result in immediate termination from our platform.

You agree to take all medications exactly as prescribed, to report any adverse effects promptly to your care team, and to disclose all other medications, supplements, and health conditions before starting any new treatment.

7. Subscriptions, Billing & Refunds

Subscription Plans

Access to clinical services is provided through subscription plans as described and priced on our Site at the time of enrollment. Subscription prices are displayed clearly before you confirm your purchase. By enrolling in a subscription, you authorize Truventa Medical to charge your chosen payment method at the applicable rate on a recurring basis (monthly or as otherwise specified).

Recurring Billing

Your subscription will automatically renew at the end of each billing period unless you cancel before the next renewal date. You will be charged on the same date each billing cycle. You are responsible for ensuring that your payment information remains current and accurate. Failure to maintain valid payment information may result in suspension or termination of your access to services.

Cancellation Policy

You may cancel your subscription at any time by contacting our care team at care@truventamedical.com or through your account portal. Cancellations take effect at the end of your current billing period. You will retain access to services through the end of the paid period. Cancellation does not entitle you to a refund for the current billing period.

Refund Policy

Due to the nature of healthcare services, we do not offer refunds for services that have been rendered, including completed consultations, prescription fulfillment, or portions of a subscription period that have already been used. If you believe you have been charged in error, please contact us within 30 days of the charge and we will investigate promptly.

Medication Costs

Subscription fees cover access to physician consultations and care management services. The cost of prescription medications may be separate from your subscription fee and will vary depending on the specific medication, dosage, quantity, and pharmacy. All medication pricing will be disclosed before you confirm any prescription order.

Price Changes

We reserve the right to adjust subscription pricing at any time. We will provide at least 30 days' advance notice of any price increase via email. Your continued enrollment after the effective date of a price change constitutes acceptance of the new pricing.

8. Telehealth Consent

By accessing our clinical services, you explicitly consent to the delivery of healthcare services via telehealth modalities, including but not limited to:

  • Synchronous video consultations
  • Telephone consultations
  • Asynchronous (store-and-forward) messaging and questionnaire-based evaluations
  • Electronic transmission of health records, lab results, and prescriptions

Limitations of Telehealth

You acknowledge that telehealth services have inherent limitations compared to in-person medical care. These limitations include, but are not limited to:

  • The inability to conduct a physical examination
  • Potential technical failures, interruptions, or security risks inherent to digital communications
  • The possibility that a telehealth evaluation may not be sufficient to address certain conditions, requiring referral to in-person care

Your treating physician will inform you if your condition requires in-person evaluation or care that cannot be appropriately provided through telehealth.

Right to In-Person Care

Your use of our telehealth platform does not prevent you from seeking in-person medical care at any time. You are encouraged to maintain a relationship with a primary care physician and to seek in-person care for emergencies or for conditions requiring physical examination.

Technology Requirements

You are responsible for having access to a device (smartphone, tablet, or computer) with a working camera, microphone, and a stable internet connection sufficient to conduct a telehealth consultation. We are not liable for any failure of services due to inadequate technology on your end.

9. Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, software, and the underlying code and architecture — is the property of Truventa Medical or its content suppliers and is protected by United States and international intellectual property laws, including copyright, trademark, and trade secret laws.

Limited License

Truventa Medical grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial purposes. This license does not include the right to:

  • Reproduce, distribute, publicly display, or create derivative works from any content on the Site without our express written permission
  • Use any data mining, robots, scrapers, or similar data gathering tools
  • Copy, frame, or mirror any part of the Site without prior written consent
  • Use the Site for any commercial purpose or for any public display

Trademarks

The Truventa Medical name, logo, and all associated marks, names, and slogans are trademarks or service marks of Truventa Medical. You may not use any Truventa Medical trademark without our prior written permission. All other trademarks appearing on the Site are the property of their respective owners.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Truventa Medical, its officers, directors, employees, agents, licensors, suppliers, and platform partners (including OpenLoop Health) shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

  • Damages for personal injury or medical outcomes arising from clinical treatment decisions made by licensed healthcare providers
  • Loss of profits, revenue, data, or goodwill
  • Cost of substitute goods or services
  • Damages arising from your reliance on any information obtained through the Site
  • Damages arising from unauthorized access to or alteration of your transmissions or data
  • Damages arising from third-party conduct or content accessible through the Site

In jurisdictions that do not allow the exclusion or limitation of certain types of damages, our liability shall be limited to the maximum extent permitted by law.

Cap on Liability

In no event shall our total cumulative liability to you for all claims arising out of or relating to these Terms or your use of the Services exceed the total amount paid by you to Truventa Medical in the twelve (12) months immediately preceding the event giving rise to the claim.

Third-Party Content

The Site may contain links to third-party websites or resources. We are not responsible for the content, accuracy, or availability of any third-party sites, and the inclusion of any link does not imply our endorsement or affiliation with that site.

11. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Truventa Medical and its officers, directors, employees, agents, licensors, suppliers, and platform partners from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation
  • Your access to or use of the Site or Services
  • Your provision of false, inaccurate, or misleading information in any health assessment or registration form
  • Your misuse of any prescription medications obtained through the platform
  • Any content you submit, post, or otherwise make available through the Site
  • Your violation of any third-party rights, including intellectual property rights or privacy rights

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

12. Governing Law & Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [STATE], without regard to its conflict of law principles. You agree that any dispute arising under these Terms shall be resolved exclusively in accordance with the dispute resolution provisions below.

Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us at legal@truventamedical.com and attempt to resolve any dispute informally. We will make good-faith efforts to resolve disputes within 30 days of notification.

Binding Arbitration

If a dispute cannot be resolved informally, you and Truventa Medical agree to resolve any and all disputes, claims, or controversies arising out of or relating to these Terms or your use of the Services through binding individual arbitration, rather than in court, except as provided below. The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Class Action Waiver

YOU AND TRUVENTA MEDICAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Truventa Medical agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

Exceptions

Notwithstanding the above, either party may seek emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time in our sole discretion. When we make changes, we will notify you by:

  • Updating the "Last Updated" date at the top of this page
  • Posting a notice on our Site homepage
  • Sending an email notification to users with active accounts (for material changes)

Your continued use of the Site or Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue your use of the Services and, if applicable, cancel your subscription before the effective date of the changes.
